In extremis, on the eve of the expiry of the deadline set by Enabling Act no. 2024-537 of June 13, 2024, the Government adopted Ordinance no. 2025-229 of March 12, 2025 reforming the system of nullities in company law.
Long-awaited, this reform pursues a twofold objective – which initial comments suggest has been partially achieved: securing and clarifying the system of nullities in company law, whether it concerns the nullity of the company itself or that of acts and deliberations taken by its corporate bodies.
